All use of the Website, information, Services, and content distributed through or in conjunction with or made available on the Website is offered to you subject to your acceptance of these Terms and Conditions and our Privacy Policy. By ordering any ZuriAnalytics Services, you are furthermore bound by this Website's Terms and Conditions. The following Terms and Conditions incorporate a legal agreement between you (“the client”) and ZuriAnalytics OÜ ("ZuriAnalytics”, “ETF Data API”, "Vattly) and set forth the terms and conditions by which ZuriAnalytics will make its API Services available in order to electronically provide the client with use of and access to Data & Services.
By accessing or otherwise using ZuriAnalytics’ Services, you acknowledge that you:
By ordering the Services with payment obligation, the client agrees to a subscription service contract to the defined conditions with no expiration date and no minimum contract duration. Upon order submission, the client receives an e-mail confirmation including a summary of the Services ordered and the terms of the contract.
The subscription is offered as a monthly subscription and runs with a monthly billing cycle. The start of the billing cycle is defined by the day of the order, meaning that the following billing cycle will start on the same date following month. If the monthly subscription is scheduled for a date that does not occur in a month (such as the 31st), the client is charged on the last day of the month instead.
With the order submission, ZuriAnalytics grants to the client a non-transferable, non-exclusive, revocable, and limited license for the term of the contract to access ETF Data API/ Vattly and use the Data and Services strictly for the limited purposes, and under the terms and conditions, as are set forth in this Agreement.
Subject to the terms herein, ZuriAnalytics will provide the client with access to ETF Data API/ Vattly over the Internet. All calls to the API must reference the credentials issued to the client by ZuriAnalytics. The client may not disclose the credentials to any other party. The client is solely responsible for ensuring the secrecy and security of the credentials and will be responsible for all activities that occur using them. The client shall not use ZuriAnalytics’ Services in a manner that exceeds reasonable request volume or constitutes excessive or abusive usage.
The extent of the usage of ETF Data API/ Vattly is dependent on the chosen subscription plan. The client cannot exceed the usage limits associated with the account. Unused amounts of call usage will not be carried over from one monthly period to the next. If the client reaches the monthly usage limit, ZuriAnalytics will pause the client’s access to the Services until the end of the billing cycle. With the start of the next billing cycle, the access to the Services will be renewed.
It is client’s sole responsibility to ensure that their application(s) properly detect and handle paused service availability. ZuriAnalytics will make reasonable efforts to help the client identify and resolve usage problems, or to review the suitability of their current subscription plan for their needs.
The client shall be solely responsible for acquiring, providing, and maintaining all software/ hardware and Internet Services required to access ETF Data API/ Vattly, including but not limited to telecommunication and internet connections, ISP, web browsers, and/ or other equipment and software required to access and use ETF Data API/ Vattly.
ZuriAnalytics is free to choose the technical means used to provide the agreed Services, unless agreed otherwise by contract. Examples of these technical means include infrastructure, platforms, transmission technologies and protocols as well as user interfaces.
ZuriAnalytics has the right to adjust the pricing as well as change the Services. ZuriAnalytics will communicate any change to the clients no shorter than 30 days before it comes in place, allowing the clients to change their subscription level or cancel it completely.
All prices are defined as total price in Euro, inclusive of tax and handling fee. No further cost shall apply.
During the term of the contract, the client is required to use ZuriAnalytics services in compliance with the contract and to pay for the received services within the specified period.
Bills are prepared based on the agreed contract and monthly subscription. In the usual case, the client will be charged directly on the day of the new billing cycle on the credit card entered with the order submission. In any other case, the client undertakes to pay the amount billed by the due date stated on the billing form. If no due date is given, a payment period of 14 days shall apply.
If the client does not meet the payment obligation within the payment period, ZuriAnalytics will have no choice but stop the subscription service within three business days.
The client has the right to change the subscription plan by upgrading or downgrading according to the defined service levels. The change of subscription can be done via e-mail on contact@zurianalytics.com and will be made effective with the following billing cycle.

The client shall use his/ her best efforts and take all necessary steps to safeguard ZuriAnalytics’ Data & Services to ensure that no unauthorized reproduction, publication, disclosure, modification, distribution, or other use of any ZuriAnalytics’ Data & Services is made in whole or in part. In case the client becomes aware of any such unauthorized use of ZuriAnalytics’ Data & Services, he/ she shall immediately notify ZuriAnalytics at contact@zurianalytics.com.
ZuriAnalytics may block services without notice, in whole or in part, or restrict them to specific performance if i) there is an important reason to terminate the contract, ii) the blocking is presumably in the customer’s best interest, e.g., if the service is being misused by third parties or iii) there is reasonable doubt that the payment obligations are complied with. The client will be notified about the blocking via e-mail. The blocking may be maintained until such time as the reason for the blocking no longer applies.
ZuriAnalytics promises the client that it will render the services owed under the contract, which are intended for the common use with private and business clients with due care and diligence. ZuriAnalytics nevertheless does not guarantee the following:
ZuriAnalytics reserves the right to perform maintenance work that may result in disruptions or slowdowns. An occurrence of any such event shall not be a good cause for extraordinary termination by the client.
The contract runs without an expiration date and can be terminated by both sides with a notice period of 30 days counted from the day of termination submission or as of the end of the current billing period. The client can terminate the contract for ETF Data API here and Vattly here. Upon the end of the billing cycle and except the terminating party reverts the termination, the access granted to the service is waived.
If an important reason exists, ZuriAnalytics shall be entitled to terminate the corresponding contract with the client or all individual services contained therein immediately without giving notice. An important reason exists in particular if:
"ETF Data API", "ETF-Data.com", "Vattly", "Vattly.com", "ZuriAnalytics", "ZuriAnalytics.com", ZuriAnalytics logo and other identifying marks of ZuriAnalytics are and shall remain the trademarks and trade names and exclusive property of ZuriAnalytics OÜ, and any unauthorized use of these marks is unlawful. Other trademarks on the Services are the property of their respective owners.
Use of ETF Data API/ Vattly is licensed, and not sold.
ZuriAnalytics provides ETF Data API/ Vattly in good faith and although ZuriAnalytics endeavours to ensure that ETF Data API/ Vattly is accurate and the whole information used is obtained from sources believed to be reliable, ZuriAnalytics does not guarantee or warrant:
ETF Data API/ Vattly is provided “as is” and “as available”, without any warranty of any kind and ZuriAnalytics, its affiliates, agents and/or suppliers, officers, directors, and employees expressly disclaim any and all warranties, whether expressed or implied, including without limitation the warranties of merchantability, fitness for a particular purpose, and non-infringement of the rights of third parties. In no event shall ZuriAnalytics, any of its affiliates, or any of their data providers involved in supplying, developing, operating, or managing ETF Data API/ Vattly, be held liable for indirect, special, punitive, or consequential damages including, but not limited to, lost profits, lost data, or otherwise. In the event the limitations and disclaimers contained in this Article are found by a court of competent jurisdiction to be ineffective or inapplicable, the parties agree that ZuriAnalytics’ maximum aggregate liability to the client and all end users, whether arising in contract, tort, strict liability, or otherwise, shall be limited, and in no event shall it exceed, the amount of fees paid by the client for the current term.
The client acknowledges that ZuriAnalytics is not, and is not affiliated with, a financial institution or financial data feed provider, but obtains its financial data from a variety of sources. The client further acknowledges that financial data often differs between financial institutions and between geographic jurisdictions and accordingly may vary from that provided by ZuriAnalytics pursuant to this agreement. Although ZuriAnalytics has used its commercially reasonable efforts to obtain the most accurate and timely financial data available from the aforementioned sources, ZuriAnalytics makes no representations or warranties as to accuracy, authenticity, timeliness, reliability, appropriateness, correct sequencing or completeness of the Data or the API of ETF Data API/ Vattly. The client acknowledges that no part of ETF Data API/ Vattly constitutes advice regarding financial, investment, legal, or tax issues, and that the client and all end users should seek independent professional advice before making any decisions regarding such issues.
In no event shall ZuriAnalytics, any of its affiliates, or any of their data providers involved in supplying, developing, operating, or managing ETF Data API/ Vattly be liable to the client or to any end users in any manner whatsoever for any interruptions, delays, the unavailability or inoperability, inaccuracies, errors, or omissions, regardless of cause, in ETF Data API/ Vattly or for any losses, damages, liabilities or expenses resulting therefrom regardless of cause, even if ZuriAnalytics knew or should have known of the possibility of or could have prevented such damages.
The client shall indemnify, defend, and save harmless ZuriAnalytics, its affiliates and subsidiaries, and their officers, directors, employees and agents from any loss, damage, liability or expense (including reasonable attorneys’ fees, accountants’ fees and other legal expenses) to which any of them may become subject to and which are in any way related to or which have arisen under or in connection with:
These Terms and Conditions incorporate by reference all notices and disclaimers contained in the Services constitute the entire agreement between the client and ZuriAnalytics with respect to access to, and use of, the Services. Except as specifically set forth herein, these Terms and Conditions supersede any prior agreements, including prior oral and/or written statements or representations not contained herein, between the client and ZuriAnalytics relating to the Services.
